1. Acceptance of Terms
By creating an account or using VemoRide, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the platform. These Terms apply to all users: customers, partners, drivers, and administrators.
2. About VemoRide
VemoRide is a marketplace connecting vehicle owners ("Partners") with individuals seeking short-term car rentals ("Customers"). VemoRide facilitates the listing, discovery, booking, payment, and communication, but is not itself the rental provider. The rental agreement is between the Customer and the Partner.
3. Eligibility
- You must be at least 18 years old to use VemoRide.
- Partners must be legally authorized to rent out the vehicles they list.
- Drivers must hold a valid Nigerian driver's license and pass identity verification.
- You must provide accurate, complete information during registration and keep it current.
4. Account Responsibilities
- You are responsible for maintaining the confidentiality of your password.
- You are responsible for all activity under your account.
- Notify us immediately if you suspect unauthorized access.
- One account per person. Duplicate or fake accounts will be terminated.
5. Bookings and Payments
5.1 Booking process
- Customers select dates, location, and whether a driver is needed.
- Full payment is collected upfront via Paystack or Flutterwave, whichever you choose at checkout.
- The partner reviews and accepts or declines the request.
- A booking is not confirmed until the partner accepts it.
5.2 Pricing
- Partners set their own daily rates and length-of-stay discounts.
- VemoRide adds a service commission (displayed at checkout).
- Vehicle prices are set in Nigerian Naira (NGN). Where USD checkout is available, the exchange rate and the amount charged in US dollars are shown before you pay.
- NGN bookings retain the service fee shown at checkout. USD bookings use a separate 4% service fee in place of the flat NGN fee. The USD booking price includes currency conversion, and the 4% is calculated on that price after discounts, before adding the service fee. The fee is rounded to the nearest whole dollar, with 50 cents rounded up: a calculated fee of $223.40 becomes $223, and $223.50 becomes $224. Only the fee is rounded to whole dollars; the final payment can include cents.
- A partner may list a vehicle without a fixed rate for states outside the one it is based in. Those listings show "Price on request" and the price is agreed with the partner before you book. Every vehicle always has a published rate for its own state.
5.3 Agreed and negotiated prices
Where a price is not published, or where a partner offers you a different price for a particular trip, the two of you agree a figure through VemoRide's messaging before any booking exists.
- The partner sends a price through VemoRide. Prices sent any other way are not part of your booking and we cannot help you enforce them.
- The price a partner enters is the amount they receive. VemoRide's commission is added on top and is shown to you before you accept, so the figure you accept is the figure you pay.
- A price stands for a limited time, shown on the offer, and never past the start of the trip it covers. A partner may withdraw a price before you accept it, and you may turn one down and ask for another.
- Accepting a price creates a booking at that price in place of any daily rate. The vehicle is not held for you until payment is completed, and availability is confirmed again at the moment you accept.
- Optional extras you selected, such as security personnel, are priced by VemoRide and charged separately from the agreed vehicle price. Both figures are itemised before you pay.
- An agreed price is recorded against your booking, so both sides can see what was agreed and when.
- Once you have paid, an agreed price is subject to the same cancellation and refund terms as any other booking.
5.4 Cancellation and refunds
- Before partner acceptance, or at least 72 hours before pickup, a customer cancellation retains only the service fee. No provider compensation is due.
- After acceptance and within 72 hours of pickup, daily bookings retain one recorded discounted day of vehicle hire and booked security or escort, plus the service fee. Hourly boats and fixed-price journeys retain one hour instead, using the hourly cancellation rates disclosed before booking. The remaining eligible amount is returned; a one-day booking has no refundable hire remaining. Same-day cancellations must be handled by support. Existing bookings retain their recorded policy.
- For voluntary customer cancellations, service fees are non-refundable for both NGN and USD payments. The eligible remainder is returned to the original payment method; any eligible amount paid with VemoRide Credit returns to your credit balance.
- If a partner declines or cancels, or VemoRide cannot provide a booking you have paid for, you are entitled to the full amount you paid, including the VemoRide service fee. That amount is added to your VemoRide Credit (see 5.5) rather than sent straight back to your card, so that you can rebook immediately instead of waiting for a card refund to clear. You may withdraw it to your original payment method at any time.
- Customers may make at most two successful booking changes, at least 72 hours before pickup. Changes remain subject to availability. If an additional payment is required, the original booking stays in place until that payment succeeds. The partner is notified when the change takes effect. Eligible price decreases are returned to the original payment method. Previewing or failing to save a change does not consume an edit.
- For an eligible late customer cancellation, the fleet partner receives 50% of their recorded base price for one day, or one hour for hourly boats and fixed-price journeys. Accepted security or escort work is compensated separately at 50% of its corresponding recorded base. Security money is never paid as fleet compensation.
- A partner cancelling after acceptance incurs a ₦2,000 fee for an NGN booking, or the recorded 4% USD service fee converted to NGN at the booking’s saved exchange rate. The fee is deducted from future payouts; any remainder carries forward. Partners should contact support before cancelling so an available replacement can be proposed. A completed, approved reassignment avoids the cancellation fee; contacting support alone does not waive it.
5.5 VemoRide Credit
VemoRide Credit is money we hold on your behalf. It arises in only two ways: when a partner cancels a booking you have paid for, and when VemoRide adds credit to your account as a gesture of goodwill. You cannot add money to it, and we do not accept deposits.
- It does not expire. It is your money and we do not put a time limit on it.
- You can spend it on any booking. It is offered to you at checkout. If the new booking costs more than your balance, you pay only the difference. If it costs less, you pay nothing and the remainder stays in your balance.
- You can withdraw it to the card or account you originally paid with. We cannot send it anywhere else. This is a deliberate protection: it means nobody who gains access to your account can redirect your money to themselves. Refunds are processed through the provider that took the payment, Paystack or Flutterwave. A Paystack refund typically shows in your bank within two working days; a refund through Flutterwave can take longer, and how long depends on your bank and card.
- Credit that arose from a single cancellation is returned to the payment behind it. If your balance came from more than one cancelled booking, a withdrawal may reach you as more than one refund. Together they will equal the amount you withdrew.
- Credit added by VemoRide as a goodwill gesture can be spent on bookings but cannot be withdrawn to a card, because there is no original payment for it to be returned to.
- Credit charged in US dollars is returned in US dollars. It can be withdrawn but cannot be put towards a booking priced in Naira, because doing so would require us to apply an exchange rate that would change the value of your credit.
- Credit reserved for an unpaid booking returns in full if that booking is cancelled or expires. For a paid booking, credit follows the same cancellation policy as a card payment: customer cancellations retain the service fee and, where applicable, the one-day or one-hour amounts described in section 5.4. Partner or platform cancellations return the full eligible credit, including the fee.
- Your credit balance and every movement in and out of it are visible to you at any time on the VemoRide Credit page in your dashboard.
5.6 Partner payouts
- For bookings under the split payout policy, 50% of the partner’s recorded base amount is released when the trip starts using the customer’s start code. For bookings created from 5 November 2026 the partner’s price is released a day at a time: half of each day when that day begins, and the remainder by 11pm on the same day in Lagos, or sooner if the trip is marked complete. Bookings created before that date release 50% at start and the remaining 50% when the trip is marked complete. Existing bookings retain their saved payout schedule. Transfer processing and bank receipt depend on Paystack confirmation. Applicable cancellation fines are deducted from payouts; security charges and platform commission are separate.
- Payouts are sent to the bank account registered on the Verification page.
- VemoRide retains the platform commission.
- A customer reporting a problem does not delay a payout. The report is recorded and a member of our team looks into it, and the partner is paid on the booking’s agreed payout schedule regardless. Where a customer is owed money, we refund the customer; we do not withhold a partner's earnings while a complaint is open.
- A payout can be paused in one situation only: where a transfer is reported to us as failed or reversed. That is not a decision about the booking or the partner, it is a fault to correct before the money can move, and we correct it and send the payout again.
- Every payout, and every failed transfer, is recorded with its amount, reference and date, and a partner can ask us for that record at any time.
5.7 Vendor settlement schedule
- All money we owe a vendor is settled through Paystack, to a bank account verified with Paystack before any payment is made. We do not settle vendors outside the platform that took the customer's payment.
- Vehicle partners receive 50% at trip start and 50% at completion for new bookings, as set out in 5.6 above. Existing bookings retain their saved schedule.
- Security contractors are settled daily. Each day we settle every confirmed security assignment whose trip was completed at least 24 hours earlier, so a contractor is paid within two days of finishing an assignment and usually the next day.
- Each security assignment is settled individually with its own reference, so a contractor can reconcile a payment against the booking it belongs to.
- Where a customer's security charge is refunded, that assignment is not settled; where it has already been settled, we recover it from the next settlement rather than reversing a payment already received.
- "Things to do" listings take no payment through VemoRide, so no settlement arises for them.
6. Partner Responsibilities
- Listed vehicles must be roadworthy, insured, and legally owned or authorized for rental.
- Partners must respond to booking requests promptly.
- Partners must accurately represent their vehicles (photos, features, condition).
- Partners must provide valid ownership documents and roadworthiness certificates.
- Partners assigning drivers must ensure the driver is verified and approved by VemoRide.
6a. Vehicle Videos
You may add a video of your vehicle, either by pasting a YouTube link or by uploading a recording. If you upload one, we publish it to the VemoRide YouTube channel as an unlisted video and show it on your listing. We keep only the link; the file itself is not stored on our systems.
- You confirm the recording is of your own vehicle, that you have the right to publish it, and that it follows YouTube's Community Guidelines. You are asked to confirm this each time you upload.
- You may ask us to take a video down at any time by writing to support@vemoride.com.
- We may remove a video without notice if it does not show the vehicle it is attached to, if it breaches the Community Guidelines, or if YouTube removes it. Removal of a video does not by itself remove your listing.
- Your video remains yours. Publishing it to our channel is for the purpose of showing it on your listing, and does not transfer ownership of it to us.
7. Customer Responsibilities
- Treat rented vehicles with reasonable care.
- Report damage honestly and promptly.
- Return the vehicle at the agreed time and location.
- Do not use vehicles for illegal activities.
- Present the start code to the driver/partner at pickup as proof of handover.
8. Driver Responsibilities
- Hold a valid, non-expired Nigerian driver's license.
- Drive safely and comply with all traffic laws.
- Maintain professionalism with customers at all times.
- Start and complete trips through the app (location is logged for safety).
9. Prohibited Conduct
- Sharing contact information (phone, email) through in-app messaging in order to arrange a rental outside VemoRide. This does not restrict the phone numbers we release ourselves: once a booking is paid for and confirmed we give the customer the partner's number, and the partner the customer's, so they can coordinate that booking.
- Creating fake bookings, reviews, or accounts.
- Harassment, discrimination, or threatening behavior toward any user.
- Using the platform for illegal purposes.
- Attempting to bypass payment processing.
- Scraping, automated access, or reverse engineering the platform.
- Uploading malware, offensive content, or content that infringes intellectual property rights.
10. Pausing, Suspension, Closure and Deletion
Four different things, which we keep deliberately distinct:
- You may pause your own account at any time from Profile Settings. Your profile is hidden, any vehicles come off sale and you are signed out everywhere. Nothing is deleted, nothing expires, and you lift it by signing in again.
- You may delete your own account at any time from Profile Settings, unless a trip is still in progress or a payment has not settled. You have 30 days to change your mind by signing in, after which your personal data is erased. See our deletion page and section 5 of the Privacy Policy for what is erased and what is kept.
- We may suspend your account while we look into something. A suspended account cannot create bookings, list cars or message other users. A suspension is temporary and we lift it.
- We may close your account permanently for breaching these Terms or our Acceptable Use Policy. If we do, your personal data is erased immediately rather than after 30 days, and we keep a one-way hash of your email address and phone number so that the account cannot simply be opened again. We keep no readable copy of either. You may appeal to support@vemoride.com.
- Outstanding financial obligations survive termination, by you or by us.
11. Limitation of Liability
VemoRide is a marketplace facilitator. We are not liable for:
- The condition, safety, or legality of any vehicle listed by a partner.
- The actions, omissions, or behavior of any partner, customer, or driver.
- Losses arising from vehicle accidents, theft, or damage during a rental.
- Service interruptions caused by circumstances beyond our control.
To the maximum extent permitted by law, VemoRide's total liability is limited to the service fees you paid in the 12 months preceding the claim.
12. Dispute Resolution
- Disputes between customers and partners should first be raised through VemoRide Support.
- We will attempt to mediate in good faith but are not obligated to resolve third-party disputes.
- These Terms are governed by the laws of the Federal Republic of Nigeria.
- Any legal proceedings shall be brought in the courts of Lagos, Nigeria.
13. Intellectual Property
The VemoRide name, logo, and platform design are our property. User-generated content (photos, reviews) remains yours, but you grant us a non-exclusive license to display it on the platform.
14. Indemnification
You agree to indemnify VemoRide against claims, damages, and costs arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.
15. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use after changes constitutes acceptance.
15a. SMS Terms
VemoRide, a trading name of Vemo Trio Global Limited, sends one-time verification codes by SMS to confirm that a mobile number belongs to the account holder who entered it.
- You opt in by entering your own mobile number in your account and asking us to verify it. We send a code only in response to that request.
- Message frequency depends on you: one message each time you ask for a code.
- Message and data rates may apply.
- To stop receiving codes, do not request one. You may also reply STOP to any message to opt out, and HELP for help.
- Opting out means you cannot verify a mobile number, and anything that requires a verified number will be unavailable to you.
- We send no marketing or promotional messages by SMS.
- Carriers are not liable for delayed or undelivered messages.
For help with verification codes, contact us at info@vemoride.com or +234 903 092 6285.
16. Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
